These Terms of Service (“Terms”) govern your access to and use of the website located at
valorhealthconnect.com and any related online content, features, or functionality (collectively, the “Site”).
The Site is owned and operated by Valor Health Solutions, LLC (“Valor,” “we,” “us,” or “our”).

Acceptance of These Terms

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

1. Nature of the Site; No Medical Care

The Site is provided for general informational, educational, and administrative purposes only. The Site may describe services we offer, provide
information about mental health and related topics, and allow you to submit inquiries or request that our staff contact you.
The Site does not itself provide medical care, diagnosis, treatment, or clinical services.

Nothing on the Site is intended to create, and your use of the Site does not create, a physician–patient or other clinical relationship.
Any diagnosis or treatment you may receive from our providers occurs only within our clinical systems and facilities and is governed by separate
agreements and notices provided at the time of care.

If you are experiencing a medical or mental health emergency, call 911 or go to the nearest emergency room. If you are in emotional distress
or experiencing suicidal thoughts, you may contact the 988 Suicide & Crisis Lifeline by calling or texting 988 in the United States.

2. Website vs. HIPAA-Governed Systems

The Site is a public-facing website for marketing and administration. It is technically and operationally distinct from the systems we use to provide
clinical services, such as our electronic health record (EHR), patient portal, telehealth platforms, prescribing systems, and other clinical tools
that may contain Protected Health Information (“PHI”) as defined by the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).

PHI is not stored on the Site, and the Site is not used as an EHR or other HIPAA-governed record system. If you are a patient or client, your PHI is
maintained in separate, secure, HIPAA-regulated systems that are not hosted on, or directly connected to, the Site. Our use and disclosure of PHI
and your rights under HIPAA are described in our HIPAA Notice of Privacy Practices,
not by these Terms.

When you click on links from the Site to a patient portal, telehealth system, payment processor, or other third-party platform, you are leaving the
public Site and entering an environment governed by separate terms, privacy notices, and HIPAA-related documents.

3. Eligibility and Acceptable Use

By using the Site, you represent and warrant that you are at least 18 years of age, or that you are using the Site under the supervision of a parent
or legal guardian who agrees to be bound by these Terms on your behalf. You agree to use the Site only for lawful purposes and in accordance with
these Terms.

  • Do not attempt to gain unauthorized access to the Site, our systems, or any related networks.
  • Do not interfere with or disrupt the operation of the Site.
  • Do not use the Site in any manner that could damage, disable, overburden, or impair the Site or any other party’s use of the Site.
  • Do not use the Site in violation of any applicable law or regulation.

4. No Medical Advice

All content made available through the Site, including text, graphics, articles, blog posts, videos, and other materials, is provided for general
informational purposes only and is not intended to constitute medical advice or to be relied upon for diagnosis or treatment.

You should not disregard or delay seeking professional medical advice because of something you have read or seen on the Site. Clinical questions
should be directed to a qualified healthcare professional, ideally your treating provider.

5. Intellectual Property

All content on the Site, including text, graphics, logos, icons, images, audio clips, video clips, and design elements (collectively, “Content”),
is owned by Valor or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and to download or print a single copy of
the Content solely for your personal, non-commercial use, provided that you do not modify the Content and that you retain all copyright and other
proprietary notices.

You may not reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, or otherwise exploit the Content or
the Site for any commercial purpose without our prior written consent.

6. User Submissions

If the Site allows you to submit information, including questions, comments, testimonials, or other materials (“User Submissions”), you acknowledge
and agree that:

  • You are solely responsible for your User Submissions and their legality, reliability, accuracy, and appropriateness.
  • You will not submit content that is unlawful, defamatory, harassing, discriminatory, obscene, or otherwise objectionable, or that infringes any rights of any third party.
  • By submitting User Submissions, you grant Valor a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, publish,
    display, and distribute such User Submissions (in whole or in part) for marketing, educational, or other lawful purposes, subject to applicable
    privacy and HIPAA restrictions.

We reserve the right, but do not have an obligation, to remove any User Submissions that we determine in our sole discretion to be inappropriate or
in violation of these Terms.

7. Third-Party Sites and Services

The Site may contain links to third-party websites, platforms, or services that are not owned or controlled by Valor, including patient portals,
telehealth platforms, payment processors, scheduling tools, or social media sites. These links are provided for your convenience only.

We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites or services. Your use of such
sites or services is at your own risk and is subject to the terms and conditions and privacy policies of those third parties.

8. Disclaimers

To the maximum extent permitted by applicable law, the Site and all Content are provided on an “AS IS” and “AS AVAILABLE” basis, without any
warranties of any kind, whether express, implied, statutory, or otherwise. Without limiting the foregoing, we disclaim all implied warranties of
merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of
trade.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or
other harmful components. We do not warrant the accuracy, completeness, or reliability of any Content available through the Site.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Valor or its owners, officers, directors, employees, agents, contractors, or
affiliates be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to damages for
loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with your access to or use of, or inability to access
or use, the Site or any Content, even if we have been advised of the possibility of such damages.

To the extent any liability is found despite the foregoing limitations, our total aggregate liability for any and all claims arising out of or
related to your use of the Site shall not exceed one hundred U.S. dollars (USD $100.00), or the minimum amount permitted by law if a higher
limitation is required in your jurisdiction.

10. Indemnification

You agree to indemnify, defend, and hold harmless Valor and its officers, directors, employees, agents, contractors, and affiliates from and against
any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any applicable law or any rights of another person or entity.

11. Changes to the Site and to These Terms

We may update, modify, or discontinue the Site, in whole or in part, at any time, with or without notice. We may also revise these Terms from time
to time. When we do so, we will update the “Last Updated” date at the top of this page.

Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms,
you must stop using the Site.

12. Governing Law; Jurisdiction

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Florida, without regard to any
choice-of-law or conflict-of-laws rule.

You agree that any legal suit, action, or proceeding arising out of or relating to these Terms or your use of the Site shall be instituted
exclusively in the state or federal courts located in the State of Florida, and you hereby consent to the personal jurisdiction and venue of such
courts.

13. Severability; Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be
modified to the minimum extent necessary so that it is enforceable, and the remaining provisions of these Terms shall remain in full force and
effect.

No waiver by Valor of any term or condition outlined in these Terms shall be deemed a further or continuing waiver of such term or condition or a
waiver of any other term or condition, and any failure by Valor to assert a right or provision under these Terms shall not constitute a waiver of
such right or provision.

14. Entire Agreement

These Terms constitute the entire agreement between you and Valor with respect to your use of the Site and supersede all prior or contemporaneous
understandings, agreements, representations, and warranties, whether written or oral, with respect to the Site.
